1. Acceptance of Terms

By accessing bestbuddyerp.com or using any of our products or services, you confirm that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organisation. If you do not agree to these Terms, please do not use our services.

2. Description of Services

BestBuddy Technology provides:

• School and college ERP software (cloud-hosted and on-premise)
• Jewel Shop ERP software for billing, inventory, customer accounts and GST reporting
• Custom ERP development for business workflows
• Mobile application development (Android and iOS)
• Web application development and hosting
• System integration services (biometric, SMS, payment gateways)
• Analytics, reporting, and support services

Specific terms for individual service engagements are governed by separate Service Level Agreements (SLAs) or Master Service Agreements (MSAs) signed between BestBuddy and the client organisation.

3. Intellectual Property

All content on this website — including but not limited to text, graphics, logos, icons, images, software, and the ERP platform itself — is the exclusive property of SBSD BestBuddy Technology Private Limited and is protected under applicable Indian and international intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content without our prior written consent. Client-specific customisations developed under a service agreement remain the subject of the respective agreement's IP clauses.

4. User Accounts and Responsibilities

To access certain features, users may need to create an account. You are responsible for keeping your login details (username and password) confidential. You are also responsible for all activities that happen under your account.

4.1 User Obligations

When using our website or ERP platform, you agree to:

• Provide accurate and complete information during registration and onboarding
• Maintain the confidentiality of your login credentials
• Use the services only for lawful internal administrative, academic, retail or business purposes and in accordance with these Terms
• Not attempt to gain unauthorised access to any part of our systems
• Not upload or transmit malicious code, spam, or harmful content
• Not share or misuse any data you access within the system
• Respect the privacy and rights of other users, students, teachers, staff, customers and suppliers
• Comply with all applicable local, state, and national laws

5. ERP Service Terms

5.1 Subscription and Payment

ERP services are provided on a subscription basis. Fees, payment schedules, and renewal terms are specified in the respective service agreement. Failure to make timely payments may result in service suspension after a grace period of 15 days with prior notice.

5.2 Data Ownership

All organisational data entered into the ERP platform remains the property of the client organisation. BestBuddy acts solely as a data processor. Upon termination of the service, data will be provided in a standard exportable format within 30 days of request.

5.3 Service Availability

We target 99.9% platform uptime, excluding scheduled maintenance windows communicated in advance. Scheduled maintenance is typically performed during off-peak hours (midnight to 4 AM IST on weekends).

5.4 Acceptable Use

The ERP platform must be used solely for the client organisation's internal administration and operations. Resale, sublicensing, or reverse-engineering of the platform is strictly prohibited.

5.5 Third-Party Services

Our system may integrate with third-party tools or services (e.g., biometric systems, SMS gateways, payment processors). We are not responsible for any issues, content, or privacy practices related to those third-party services.

6. Data Privacy

We take your privacy seriously. Please read our Privacy Policy to understand how we collect, use, and protect your information.

7. Limitation of Liability

To the maximum extent permitted by applicable law, BestBuddy shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising out of or in connection with your use of our services.

While we strive to provide a secure and stable system, BestBuddy.dev is not liable for:

• Data loss or system unavailability
• Errors, bugs, or technical issues
• Damages resulting from unauthorized access or misuse

Use of the Services is at your own risk.

Our total aggregate liability for any claim arising under or in connection with these Terms shall not exceed the total fees paid by you in the three months preceding the claim.

8. Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the services will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Indemnification

You agree to indemnify, defend, and hold harmless BestBuddy and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of our services, your violation of these Terms, or your violation of any third-party rights.

10. Suspension or Termination

Either party may terminate a service agreement with written notice as specified in the applicable SLA. We reserve the right to suspend or terminate access to the Services at any time, without prior notice, if a user is found violating these Terms, misusing the platform, or engaging in unauthorized activity. Upon termination, client data will be handled as described in Section 5.2.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in Coimbatore, Tamil Nadu, India.

12. Modifications to the Terms

We may update these Terms from time to time. Changes will be posted on this page with the updated date. We will provide at least 30 days' notice before material changes take effect by posting the updated Terms on our website and notifying active clients by email. Continued use of the Services after changes means you accept the revised Terms.
